CORPORATE GOVERNANCE
BOARD OF DIRECTORS
The Board of Directors has the task of setting the Companys
strategy and ensuring its implementation. See the section on
corporate governance on pages 12-13 of the annual report.
CHAIRMAN
Jean-Paul Villot (59 years old), joined Neopost SA in
September 1995 as Managing Director, and was appointed
Chairman and CEO of Neopost SA in September 1996.
Mr Villot is a graduate of Frances Ecole des Mines (engineering)
and IAE (business) schools, and has held various professional
posts in France and abroad, working in sales and general
management at Bull and Schlumberger. Between 1991 and his
arrival at Neopost, he was Executive Director and member of the
Management Committee of Dutch photocopier manufacturer
Oce. He was in charge of around half of the activities of this
multinational company. Following the adoption of Frances
NRE (new economic regulations) act, Mr Villot has been
confirmed in his position as Chairman and CEO.
OTHER MEMBERS OF THE BOARD OF DIRECTORS
Henk Bodt (66 years old) was previously Vice-President of
the Philips Group, in charge of the Consumer Electronics,
Business Electronics, Medical Systems and Semiconductors
businesses. Prior to this, Mr Bodt was President of Oce,
Europes leading producer of photocopiers and printers. Mr
Bodt was appointed Director of Neopost SA in July 1999.
Henk Bodt is also a director of ASML (Netherlands), DSM
(Netherlands) and Delft Instruments (Netherlands).
Jacques Clay (56 years old) is Vice-Chairman of Netquartz,
and in charge of international activities at Open Harbour. Mr
Clay spent most of his career at Hewlett Packard, working in
Europe and the USA, where he was in charge of several
international divisions. In particular, he developed HPs PC
division to a multi-billion dollar business, making HP the
third-largest company in this sector.
Mr Clay is also Managing Director for Europe at Open
Harbor, Chairman of Netquartz SA s Supervisory Board and
Vice-Chairman of Takasic SA s Supervisory Board.
Cornelius Geber (53 years old) is currently a Director of a
number of German and international companies. He was
previously a consultant to the general management of the
German postal authorities, and was Chairman of the Board
of Directors of German transport company Kühne & Nagel
AG & Co, Hamburg/Bremen, between 1993 and 1999.
He is a member of the Consultation Committee of the
German National Logistics Association. Mr Geber was made
a Director of Neopost SA in July 2002.
Mr Geber is also Chairman of GC Beteiligungs und
Management Gmbh & AG, Chairman of the Board at Paul
Gunther Logistik AG et Ponaxis AG, Vice-Chairman of the
Board at Inconso AG, Director of Kiala SA and Friedrich
Grohe Holding Gmbh and member of the Consultation
Committee at Friedrich Grohe Holding Gmbh.
Michel Guillet (59 years old) is a Senior Partner of BC
Partners, the consultancy arm of the BC European Capital
investment fund. He also co-founded BC Partners in 1987.
He previously held various management posts, including
those of Chairman of Thomsons commercial refrigeration
division and Managing Director of Lohr, a maker of car
transporters. Michel Guillet has been a Director of Neopost
SA since September 1997.
Mr Guillet is also Managing Director of LMBO Europe SAS,
Manager at BC Partners Sarl and a Member of the Board at
Novalis SAS.
Eric Licoys (65 years old) has spent a large portion of his
career in the banking industry. Among other positions, he has
been Managing Director of Banque Occidentale pour
lIndustrie et le Commerce, Board Member and Managing
Director of Compagnie Financière Barclays, and Chairman
of Fonds Partenaire Gestion. Between 1999 and 2002, he was
Board Member and Managing Director of Vivendi Universal.
He was appointed Director of Neopost by the shareholders
meeting of 9 July 2003.
Mr Licoys is also Chairman of the Board of Directors of
Financière Photo Europe SA, Chairman of the Supervisory
Board of Photo Service, Photo Station and Hermes Metal
Yudigar, Member of the Supervisory Board at Groupe
Express-Expansion, and Director of Banque Eurofin HSBC
and Intermediate Capital Group.
Raymond Svider (41 year old) has been Partner of BC
Partners since January 1992. He was previously Vice-Chairman
at the investment bank Wasserstein Perella & Co. Raymond
Svider has been a Director of Neopost SA since September 1997.
Mr Svider is also a Partner of BC Partners Ltd, Chairman of
the Board of Directors of Steelco SA France, Director of STPI,
Tera Consultants, Polyconcept Holding SA, Polyconcept
Holding BV, P&F Management BV and Finapol Sarl,
Member of the Supervisory Board at Zippo Europe SA and
Finakabel Verwaltungs AG and Manager at Finapol Sarl.
